Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “Gallus Acqco Limited” of the company “Gallus Topco Limited”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the company “Gallus Acqco Limited” of the company “Gallus Topco Limited”, the parent company of “Biosynth Beteiligungs AG”, and its subsidiaries, through the acquisition of the entire stake held by “Dr Urs Spitz” amounting to 17.49%.

“Gallus Acqco Limited” is an ad hoc company indirectly wholly owned by investment funds, vehicles and/or accounts advised and managed by various subsidiaries of the company “KKR & Co. Inc.” (with its subsidiaries, “KKR”), registered under number 163222 and headquartered at 2^nd Floor Sir Walter Raleigh House, 48-50 Esplanade, St. Helier, Jersey JE2 3QB.

“KKR” is an international investment company that offers alternative asset management solutions, as well as solutions for financial markets and insurance. KKR sponsors investment funds that invest in private equity, credit, and real estate assets, and has strategic partners managing hedge funds.

“Gallus Topco Limited” is a Jersey company limited by shares, registered under number 139334 with the Jersey Financial Services Commission registry, headquartered at 2^nd Floor Sir Walter Raleigh House, 48-50 Esplanade, St. Helier, Jersey, JE2 3QB. Gallus Topco Limited is a holding company.

“Biosynth Beteiligungs AG” is a Swiss public limited company, registered in the commercial register under number CH-320.3.075.694-1, headquartered at Rietlistrasse 4, 9422 Staad SG, Switzerland, is a group of companies active in the supply, development, and manufacture of a wide range of biochemical and chemical products, particularly research products and pharmaceutical and diagnostic products.
