Press Release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company ‘H&S RETAIL HOLDING SA’ of the company ‘BRICO-INVEST SA’

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘summary of the operation’ below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the exclusive takeover by the company ‘H&S Retail Holding SA’ of the company ‘Brico-Invest SA’ through the acquisition of 85% of its share capital and related voting rights.

‘H&S Retail Holding SA’ is a Moroccan joint-stock company with its registered office located in the Ouled Saled Industrial Zone, Bouskoura, registered with the Casablanca Trade Register under number 601583. ‘H&S Retail Holding’ is a subsidiary of ‘H&S Invest Holding S.A.’ which has active subsidiaries in the distribution of consumer products, pharmacy, industry, logistics, and e-commerce.

‘Brico-Invest SA’ is a Moroccan joint-stock company with its registered office at 109, Route de Bouskoura -20190 Casablanca, registered with the Casablanca Trade Register under number 129997. ‘Brico-Invest SA’ is the exclusive franchisee of the ‘Mr. Bricolage’ brand in Morocco, specializing in the distribution of DIY tools, home improvement equipment, decoration, and gardening products.
