NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration transaction concerning the exclusive takeover by the company ‘Intelcia Holding SARL’ of the companies ‘Intelcia Group SA’, ‘Intelcia Portugal Inshore SA’, ‘Coriolis Services SAS’, ‘Intelcia Madagascar SA’, ‘Intelcia (Maurice) Ltée’, ‘Metos SUARL’, ‘T3C SUARL’ and ‘Sotem SUARL’, through the acquisition of 100% of the social capital and voting rights of the targets, held by the Altice group.

‘Intelcia Holding SARL’ is a limited liability company established in Luxembourg, with registration number B238729, and domiciled at Avenue de la Liberté 45, L-1931 Luxembourg. ‘Intelcia Holding SARL’ is a holding company with no operational activity, whose sole purpose is to hold interests.

The targets are companies specialized in outsourcing and active in the outsourced call center sector. They operate in 16 countries in Africa (including Morocco), Europe, Latin America & the Caribbean, the United States, and the Indian Ocean.
