NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the exclusive takeover by the company “Mérieux NutriSciences Corporation”, through its wholly owned and controlled subsidiary “Silliker Consulting BV”, of the entire share capital and exclusive control of the company “Labomag SARL”.

“Mérieux NutriSciences Corporation”, a company headquartered in Chicago, United States, is indirectly and majority owned and controlled by the “Mérieux Institute”. The company, through a network of 100 accredited laboratories in more than 26 countries, provides practical analysis, auditing, consulting, certification, and research solutions for the food industry to meet the needs of food manufacturers, processors, caterers, and retailers.

“Silliker Consulting BV”, a limited liability company based in the Netherlands, wholly owned and controlled by “Mérieux NutriSciences Corporation”, operates as a financial holding company providing management services to its subsidiaries.

“Labomag SARL”, a Moroccan limited liability company based in Casablanca, provides food analysis services to ensure the safety, quality, and regulatory compliance of food products. Its activities include chemical and nutritional analysis, detection of harmful residues, additives, and allergens, as well as microbiological analyses to identify pathogens and organisms causing food spoilage. It is currently owned by “Bureau Veritas International SAS”, a simplified joint-stock company established in France, offering laboratory analysis, inspection, and certification services for a variety of sectors and industries in several countries.
