Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company ‘Midea Group., Co Ltd.’ of certain subsidiaries and assets of the company ‘Carestream Health, Inc.’

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘operation summary’ below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not prejudge the Competition Council’s position on the proposed operation.

The Competition Council has received notification of an economic concentration project operation concerning the exclusive takeover by the company ‘Midea Group., Co Ltd.’ of certain subsidiaries and assets of the company ‘Carestream Health, Inc.’.

‘Midea Group., Co Ltd.’ is a global group, under Chinese law, listed on the Shenzhen and Hong Kong stock exchanges, with its headquarters in Foshan, a city in the Guangdong province in southern China. The activities of ‘Midea Group., Co Ltd.’ are organized into several divisions, including smart home, energy solutions and industrial technology, smart building technology, robotics and automation, health and smart logistics, etc. The activities of ‘Midea Group., Co Ltd.’ in Morocco consist of manufacturing and supplying, among other things, digital radiography (‘DR’) and computer-assisted tomography (‘CT’) devices.

‘Carestream Health, Inc.’ is a U.S.-based company, headquartered in Rochester, United States of America. ‘Carestream Health, Inc.’ is a global provider of innovative products in the field of medical imaging and non-destructive testing, marketed internationally.
