NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the company “Mutandis SCA” of the company “Enosis SA” and its subsidiaries.

“Mutandis SCA” is a Moroccan limited partnership by shares, headquartered at 22, Boulevard Abdelkrim Al Khattabi in Casablanca, registered with the Casablanca Trade Register under number 180175 and listed on the Casablanca Stock Exchange.

“Mutandis” is a Moroccan industrial and commercial group founded in 2008, specialized in household consumer goods in Morocco, Africa, the United States, and Europe. The group is currently present in three major categories of fast-moving consumer goods (FMCG): hygiene products (Home & Personal Care – HPC), seafood products (sardine and mackerel preserves), and beverages (mineral water and fruit juices).

“Enosis SA” is a Moroccan joint-stock company, headquartered at CT 1302, Km 1, Jorf Lasfar Industrial Zone, Moulay Abdallah Commune, El Jadida, registered with the El Jadida Trade Register under number 17169. It operates in the household consumer goods sector (Home & Personal Care – HPC).
