Press Release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “NMDC Group PJSC” of the company “Lantania Aguas SLU”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this press release does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition as amended and supplemented.

• The direct acquirer: The company “NMDC INFRA – LLC – SSC – O.P.C”;

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received a notification of a concentration project consisting of the exclusive takeover by the company “NMDC Group PJSC”, through its subsidiary “NMDC INFRA – LLC – SPC – O.P.C”, of the company “Lantania Aguas SLU”, through the acquisition of 51% of its share capital and related voting rights.

“NMDC INFRA – LLC – SSC – O.P.C” is a limited liability company established under the laws of the Emirate of Abu Dhabi, United Arab Emirates, with its registered office at Abu Dhabi Industrial City, ICAD 1 P.O Box 106660 – Abu Dhabi – UAE, registered with the Abu Dhabi Commercial Register under number CN-3861122.

“NMDC Group PJSC” is a public joint stock limited company incorporated under the laws of the United Arab Emirates, with its registered office at 16 Mussafah Street, P.O. Box 3649, Abu Dhabi, registered with the Abu Dhabi Commercial Register under number CN-1002470. The NMDC Group is a global player in the dredging, marine, and energy sectors, providing advanced engineering, procurement, and construction solutions for onshore and offshore projects.

“Lantania Aguas, SLU” is a limited liability company with a single Spanish shareholder, with a share capital of 1,028,000 euros, headquartered at Avenue Charles Darwin, plot TA-17.2, Edificio de Usos de Tecnologías Avanzadas, 41092 Sevilla, registered with the Seville Commercial Register under number B-88234174. It specializes in EPC (Engineering Procurement Construction) projects for desalination, treatment, and purification of urban and industrial water.
