In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the below “operation summary” containing the information provided by the parties.

The Competition Council has received notification of an economic concentration operation concerning the exclusive takeover by the company “Pharma Capital SA” of the companies “Afric-Phar SA”, “Pharmis SA”, and “Partner Lab SA” through the respective acquisition of 95.35%, 55%, and 4% of their share capital and associated voting rights.

“Pharma Capital” is a Moroccan joint-stock company, with its registered office at 29, rue de Lille, 2nd floor, Roches Noires, Casablanca, Morocco, registered with the Casablanca Trade Register under number 625427, specializing in investment in the pharmaceutical sector.

“Afric-Phar” is a Moroccan joint-stock company, with its registered office at 134 Allée des Mimosas, Ain Sebaa, Casablanca, Morocco, registered with the Casablanca Trade Register under number 29767, engaged in the production and distribution of pharmaceutical products.

“Pharmis” is a Moroccan joint-stock company, with its registered office at 134, allée des Mimosas, Aïn Sebaâ, Casablanca, Morocco. It specializes in the production and distribution of pharmaceutical products.

“Partner Lab” is a Moroccan joint-stock company, with its registered office at Route Régionale Casablanca – Mohammedia N°322, Km 10.5 Lotissement Est Aïn Sebaâ, Lot N°1, Aïn Sebaâ 20590, Casablanca, Morocco, specializing in pharmaceutical research and development.
