NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the company « Société De Promotion Industrielle Et Automobile Au Maroc SA » of a business located in Al Jadida dedicated to the marketing of automobiles held by the company « KMG Auto SARL ».
« Société De Promotion Industrielle Et Automobile Au Maroc S.A » is a Moroccan joint stock company with its registered office at 125 Boulevard Moulay Slimane Ain Sebaa, Casablanca, registered with the Casablanca Trade Register under number 36449. Its main activity is the exclusive distribution in Morocco of automobiles under the Peugeot, Citroën, and DS brands, as well as the marketing of spare parts and the provision of associated after-sales services.
« KMG Auto SARL » is a Moroccan limited liability company with a capital of 3,200,000 dirhams, headquartered at CC Marjane Aïn Sebaâ, Lot Al Fadl, Beausite district, Casablanca, and registered with the Casablanca Trade Register under number 508241. It operates an automobile dealership business including the sale of new and used vehicles, marketing of spare parts, as well as repair and maintenance services.
The Target Asset is a business dedicated to the marketing of new automobiles under the Peugeot, Citroën, and DS brands, used vehicles of all brands, spare parts, as well as repair and maintenance activities, located at Lot 344, El Jadida Industrial Zone.
