NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project operation concerning the exclusive takeover by the company ‘Sothema SA’ of the company ‘Soludia Maghreb SA’ through the acquisition of all its capital and related voting rights.

‘Sothema SA’ is a Moroccan joint-stock company, with its registered office at Quartier Industriel Bouskoura – Bouskoura 27182, registered with the Casablanca Trade Register under number 35631. The company specializes in the manufacture and marketing of pharmaceuticals.

‘Soludia Maghreb SA’ is a Moroccan joint-stock company, registered with the Témara Trade Register under number 144277 and with its registered office at Zone industrielle n°19 Sidi Yahya Zaers Tamesna, Témara, Morocco. It specializes in the manufacture of concentrates for hemodialysis and more generally, in the manufacture, import, export, wholesale, and distribution of pharmaceutical products, medical devices, and dietary supplements.
