NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of a concentration project consisting of the exclusive takeover by the company “Swissport Maroc SA” of the company “Swiftair Maroc SARL”, through the acquisition of 100% of its share capital and related voting rights.

“Swissport Maroc SA” is a Moroccan joint-stock company, with its registered office at Lotissement 9, Mandarona 300, 3rd floor, Hay Sidi Marouf 1, Casablanca, registered with the Casablanca Trade Register under number 261515. “Swissport Maroc SA” operates as a global operator in ground handling services, primarily focused on passenger assistance, ramp assistance, stopover assistance, and general airport services.

“Swiftair Maroc SARL” is a Moroccan limited liability company, with its registered office at Zone Fret, Local No. 24, Med V Airport BP 99 Nouaceur Casablanca, registered with the Casablanca Trade Register under number 125361. “Swiftair Maroc SARL” is mainly engaged in ground handling services, particularly aviation cargo services, including freight and mail assistance, security checks, supervision of ramp handling operations, and freight forwarder activities (customs formalities and shipment coordination).
