Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the “Société Industrielle et Commerciale pour le Développement Agricole SA” (SICDA SA) of the company “GCC Plast SA”

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the “Société Industrielle et Commerciale pour le Développement Agricole SA” (SICDA SA) of the company “GCC Plast SA”, through the acquisition of the remaining 49.99% of its share capital and related voting rights.

“SICDA SA” is a Moroccan joint-stock company, headquartered at Lots 48/52, Zi, Route de Marrakech, Berrechid, registered with the Berrechid Trade Register under number 599. It specializes in pipe production, particularly in the sectors of drinking water supply, sanitation, construction, agriculture, and telecoms. “SICDA SA” is a 100% subsidiary of “Compagnie Marocaine de Goutte à Goutte et de Pompage SA” (CMGP SA).

“CMGP SA” is a Moroccan joint-stock company with its headquarters at Parc Industriel Sapino, Lots 102-105, Nouaceur, Casablanca, registered with the Casablanca Trade Register under number 77567. It operates in the agri-equipment sector and is a 100% subsidiary of “CMGP Group SA”.

“GCC PLAST SA” is a Moroccan joint-stock company with its headquarters at Parc Industriel Sapino, Lots 102-103-104-105, Nouaceur, Casablanca, registered with the Casablanca Trade Register under number 595241. It was established to operate in the agricultural plastic films sector; however, it is currently not engaged in any activities.
