NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the exclusive takeover of the companies « Akkim Yapı Kimyasalları Sanayi ve Ticaret Anonim Şirketi », « Akde Kimya Sanayi ve Ticaret Anonim Şirketi », « Akfix Kimya Lojistik Hizmetleri Limited Şirketi » and « Akkim Europe S.R.L. » by the company « Sika AG » through the acquisition of all the share capital and voting rights related thereto.
« Sika AG » is a Swiss public limited company, listed on the SIX Swiss Exchange, and registered in the commercial register under number CHE- 106.919.184, with its registered office at Zugerstrasse 50, 6340 Baar, Switzerland. « Sika AG » is the ultimate parent company of the Sika group, a globally active group in the specialty chemicals sector, with its headquarters in Switzerland. In Morocco, the said company is present through its subsidiary « Sika Maroc SA » since 1999. It is a public limited company registered with the Casablanca Commercial Court under number 38 313, with its registered office at Z.I. Ouled Saleh – B.P. 191, Bouskoura, 27182 Casablanca. It operates five production sites located in Agadir, Had Soualem, Bouskoura, Tangier, and Nador. It manufactures and markets chemicals for the construction and industrial sectors.
« Akkim Yapı Kimyasalları Sanayi ve Ticaret Anonim Şirketi » is a Turkish public limited company, registered in the Istanbul Commercial Register under number 457612-0, with its registered office at Yeşilbayır Mah. Şimşir Sok. No. 22, Arnavutköy, Istanbul. The company specializes in the production and marketing of sealants, adhesives, polyurethane foams, sealant products, and aerosols.
« Akde Kimya Sanayi ve Ticaret Anonim Şirketi » is a Turkish public limited company registered in the Istanbul Commercial Register under number 762084-0, with its registered office at Yeşilbayır Mah.
