Press Release from the Competition Council regarding the economic concentration project concerning the exclusive takeover of the company “Clinique Spécialisée Al Farabi SARL” by the company “CIM Holding SA” through the acquisition of 100% of its capital and associated voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

The Competition Council has received notification of an economic concentration operation concerning the project to acquire exclusive control of the company “Clinique Spécialisée Al Farabi SARL” by the company “CIM Holding SA” through the acquisition of 100% of its capital and associated voting rights.

“CIM Holding SA” is a Moroccan joint-stock company, with a share capital of 604,800,000 dirhams, registered with the Marrakech Trade Register under number 105723, with its head office at Bab Ighli, Airport Road, Marrakech, Morocco. The company is active in the healthcare sector in Morocco, owning several clinics.

The Target, “CLINIQUE SPECIALISEE AL FARABI”, a Moroccan limited liability company with a share capital of 2,000,000 Moroccan dirhams, with its head office at 7, rue Jean Jaurès, Casablanca, Morocco, registered with the Casablanca Trade Register under number 49163, is a multidisciplinary establishment established in 1986, offering a range of medical, surgical, and obstetric care and services.
