NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation in the energy sector, concerning the acquisition by the company “Vitol B.V.” of the exclusive control of the Italian company “Saras S.p.A.”, which is currently controlled solely by entities belonging to the Moratti Family, namely the company “Massimo Moratti S.a.p.A.”, the company “Angel Capital Management S.p.A.”, and the company “Stella Holding S.p.A.”.

“Vitol B.V.” is a Dutch private limited liability company registered with the Chamber of Commerce under number 24126770, with its registered office at Weena 690 18th floor, 3012CN Rotterdam (Netherlands). It is active in energy marketing and trading. Specifically, its main activity is related to the supply and distribution of crude oil, petroleum products, natural gas, and other energy products, as well as refining, trading, transportation, storage, and energy production services.

“Saras S.p.A.” is an Italian joint-stock company registered with the Companies Register of Cagliari under number 00136440922, with its headquarters at SS195 Sulcitana Km 19, 09018 Sarroch (CA) (Italy). It operates in the energy and refining sector in Europe and more specifically in national and international oil markets by purchasing crude oil and selling finished products. Its main activity takes place within its refinery located in Sarroch, Sardinia.
