NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the exclusive takeover of the company “Sopétrole SA” by the company “Vivo Energy Plc” through the temporary acquisition of the usufruct of 51% of its share capital and associated voting rights from the company “Myher Holding SA” for a period of ten (10) years.
The Vivo Energy group is active in the fuel distribution, Shell and Engen branded lubricants, and filling and distribution of liquefied petroleum gas (LPG) sectors, with the parent company being “Vivo Energy Plc”, an English law company operating in 23 African countries;
“Vivo Energy Maroc SA” is a Moroccan joint stock company, a subsidiary of the Vivo Energy group, specializing in the import, distribution of fuels and lubricants marketed under the SHELL brand, and liquefied petroleum gas under the BUTAGAZ brand throughout the national territory;
“Sopétrole SA” is a Moroccan joint stock company engaged in the import, storage, marketing, and distribution of fuels and lubricants at service stations located in the southern region of Morocco.
