NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received a notification of an economic concentration project involving the acquisition, by the company “Asyad Logistics LLC”, of the indirect exclusive control of the company “Project Como Topco Limited”, parent company of the company “Ligentia Group Holdings Limited” and its subsidiaries, through the acquisition by its subsidiary “Asyad Logistics International Limited” of 100% of its share capital and related voting rights. Following the operation, the company “Asyad Logistics LLC” will hold 80.5% of the shares of the company “Ligentia Group Holdings Limited”, with minority shareholders retaining 19.5%.
“Asyad Logistics LLC” is a limited liability company under the laws of the Sultanate of Oman, registered under number 1306932, with its registered office at Bawsher Heights Building no. 1/171, Complex 261, Bowsher, P.O. Box 470, Postal Code 115, Muscat, Oman. It is owned by “Asyad Group SAOC” and is the leading provider of integrated logistics services in Oman, offering end-to-end supply chain solutions, both nationally and internationally. Its services include international transport commissioning by air, sea, and land, warehousing, and last-mile delivery. The company also operates advanced processing centers in Oman and internationally and provides logistics solutions for e-commerce and last-mile delivery through its dedicated brand Asyad Express. In Morocco, the company “Asyad Logistics LLC” does not have a physical presence and is marginally active in providing commissioning services in the international transport sector and terminal/postal royalty services.
“Asyad Logistics International Limited” is an acquisition vehicle established specifically for this operation.
“Project Como Topco Limited” is a private limited company under British law, registered under number 14110223, with its registered office at 3rd Floor, 52 Jermyn Street, London, United Kingdom, SW1Y 6LX. It is the parent company of the company “Ligentia Group Holdings Limited” and its subsidiaries. It is a global company in the commissioning market in the international transport sector and supply chain management, offering end-to-end logistics solutions, supported by its proprietary supply chain management platform (Ligentix). In Morocco, the company “Ligentia Group Holdings Limited” and its subsidiaries are active in providing commissioning services in the international transport sector and contractual logistics to its clients.
