NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the joint control acquisition by the companies “Darnick Associates Limited” and “Strategic Investment Company GmbH” (SIC) of the company “Jasmin Morocco Hospitality SAS”, through the acquisition of 50% of its share capital and associated voting rights by each of the companies.
“Darnick Associates Limited” is a limited liability company duly established under the laws of the British Virgin Islands, with its registered office at Palm Grove House, P. O. Box 438, Road Town, Tortola, VG 1110, founded and 100% owned by Mr. Lutz Strangemann whose activities are mainly focused on investment, development, and management of real estate.
“Strategic Investment Company Gmbh” is a limited liability company duly established under German law, with its registered office at Lübecker Str. 1, 28203 Bremen, Germany, founded and 100% owned by Mr. Kai-Uwe Hollweg whose business activities are mainly focused on wholesale trade and distribution, particularly in the construction services and plumbing sectors.
“Jasmin Morocco Hospitality SAS” is a simplified joint-stock company duly established under Moroccan law, with its registered office at 39, Rue Normandie – Casablanca, registered with the Casablanca Trade Register under number 180837, whose purpose is the construction, development, acquisition, and management of hotel and tourist assets in Morocco.
