NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project consisting of the acquisition by the company “A.P. Møller Capital P/S” (APMC), through its two vehicles “APM Capital Morocco Fund” and “EMIF II HOLDING VI COÖPERATIEF W.A.”, of joint control of the company “Globex Investissement SA”[1], alongside the historical shareholder the company “Goldfin SA”, through the acquisition of 70% of the share capital and voting rights held by “Amethis MENA Fund II S.C.A. SICAV-RAIF” and “Goldfin SA”.
Following the proposed operation, the company “Goldfin” will continue to hold a 30% stake.
“A.P. Møller Capital P/S” is a Danish company, headquartered at Tuborg Havnevej 15, Hellerup, Denmark, registered in the Danish Business Register under number 38284967. The company is an infrastructure fund manager focused on investments in critical transport, logistics, and energy assets globally.
“APM Capital Morocco Fund” is a collective investment scheme, established as a simplified capital investment fund with its registered office at Casa Business Towers, 5th floor of the Tour Anfa Park, Office (CBT-C-51), Casablanca, Morocco, holding approval No. AG/SDG/02/2025.
“EMIF II HOLDING VI COÖPERATIEF W.A.” is a cooperative, with its registered office at Koninginnegracht 19, 2514AB The Hague, Netherlands, registered with the Netherlands Chamber of Commerce under number 42060425.
“Globex Investissement SA” is a Moroccan joint stock company with a share capital of 10,823,600 dirhams, headquartered at 7, Allée des Lauriers, Première Tranche du Parc d’Activités Oukacha, Plateau N E 19, Building E, 3rd Floor, Ain Sebaâ, Casablanca, registered in the Casablanca Trade Register under number 201593.
Globex engages in transport brokerage activities, including freight transport services, small parcel delivery, and road transport by truck.
“Goldfin S.A.” is a Moroccan joint stock company with a share capital of 25,000,000 dirhams, headquartered at 23 Avenue Tariq Ibn Ziyad, Rabat, and registered in the Rabat Trade Register under number 5329. The “Goldfin” investment group is active in four sectors: transport & logistics, security & defense, pharmaceutical industry, and real estate promotion.
