NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation consisting of the joint control acquisition by the investment fund ‘SPE PEF III LP’ of the company ‘Groupe Santé Tilila SA’ alongside the historical shareholders through the acquisition of 40% of its share capital and related voting rights.
‘SPE PEF III LP’ is a limited partnership company under Mauritian law with its registered office at C/o Axis Fiduciary Ltd, 2nd Floor, The Axis, 26 Cybercity, Ebene, 72201, Mauritius, registered with the Mauritian Companies Register under number L255 GBL. It is a private equity fund focusing on Africa and targeting high-growth SMEs active in the education, health, industry, and business services sectors.
‘Groupe Santé Tilila SA’ is a Moroccan joint-stock company, with its registered office in Agadir, in the process of registration with the Agadir Trade Register. It is a holding company whose sole subsidiary is ‘Clinique Tilila SARL’.
‘Clinique Tilila SARL’ is a Moroccan limited liability company with its registered office at Quartier du Prince Héritier Rue Oujjaj CPH 1 Agadir (Morocco), registered with the Agadir Trade Register under number 4343. It operates a multidisciplinary clinic offering various services including oncology services (chemotherapy and radiotherapy) and radiology.
