NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project concerning the joint control acquisition by the investment fund ‘Capmezzanine V FPCC-RFA’ through the acquisition of a minority stake in the capital of the company ‘Assiette Nordique SA’, alongside the majority shareholder ‘R3M SA’.
‘Capmezzanine V FPCC-RFA’ is a Moroccan collective capital investment organization (OPCC), established in the form of a collective capital investment fund with simplified operating rules (FPCC-RFA), registered with the Casablanca Trade Register under number 681451 and headquartered at Project CASA ANFA, Lot 60-1, No. 52B, Building B, 5th floor, Casablanca, duly represented by ‘CDG Invest Growth’, a public limited company, headquartered at Project CASA ANFA Lot 60-1, No. 52B, Building B, 5th floor, Casablanca, registered with the Casablanca Trade Register under number 110323.
‘Assiette Nordique SA’ is a Moroccan public limited company, headquartered at 13 rue des Ramiers, Plateau Extension district, Casablanca, registered with the Casablanca Trade Register under number 201737. Its activities include the transformation, sale, storage, distribution, and marketing of seafood products. The company ‘Assiette Nordique’ is exclusively controlled by the company ‘R3M SA’, its majority shareholder.
‘R3M SA’ is a public limited company with headquarters at 1 allée des mandariniers, basement and 1st floor, industrial district, Sidi Bernoussi, 20000, Casablanca, registered with the Casablanca Trade Register under number 288209. ‘R3M SA’ is a holding company that specializes in holding interests in various companies.
