Statement from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “Elcano France Bidco SAS” of the companies “Gymspa SAS”, “FitFin SAS”, and “FitMan SAS”.

In accordance with the provisions of Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation consisting of the acquisition by the company “CDG Invest SA”, a subsidiary of “Caisse de Dépôt et de Gestion” (CDG), of a minority controlling interest in the group “The Game Changer Company” (TG2C), which owns 3 subsidiaries: “Wemeet”, “Oyafood”, and “The Doorz”.

This participation will be carried out through the subscription by the company “CDG Invest” to the shares of the company “The Game Changer Company” (TG2C) as part of a capital increase totaling 10,000,000 dirhams.

The company “TG2C” operates in the market of creating, designing, animating, and distributing leisure activities to businesses through gamification.

The companies “Wemeet”, “Oyafood”, and “The Doorz” are, in turn, active respectively in (i) the market of renting equipped meeting spaces, (ii) catering services, and (iii) the amusement park market.
