Press release from the Competition Council regarding the economic concentration project concerning the merger by absorption by the company “LCI Africa Holding SASU” of the company “Université Internationale Privée Averroès SA”

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

‎The Competition Council has received notification of an economic concentration project concerning the merger by absorption by the company “LCI Africa Holding SASU” of the company “Université Internationale Privée Averroès SA”.

“LCI Africa Holding (SASU)” is a single-member simplified joint-stock company under Moroccan law, with its registered office at 745 Boulevard Al Qods, California district (Casablanca, Morocco), registered with the Casablanca Trade Register under number 516045. It is active, through its subsidiaries, in the private higher education sector. It is 100% owned by “LCI Education SA”, a Luxembourg public limited company, itself wholly owned by “Collège LaSalle International Inc.”, a Canadian legal entity constituting the parent company of the LCI Education group. “LCI Africa Holding (SASU)” is the holding company for the LCI Education group’s activities in Morocco and notably holds 95% of the capital of “Institut Privé des Hautes Études en Management SAS” (HEM) as well as 100% of the capital of “Collège LaSalle International SAS” (Morocco). “HEM” also holds 100% of the capital of the company “Foncière L’AGORA pour l’Éducation”.

“Université Internationale Privée Averroès SA” is a Moroccan public limited company, with its registered office at Lotissement La Colline II, Sidi Maarouf, registered with the Casablanca Trade Register under number 559233. It is active in the multidisciplinary private higher education sector.
