Press release from the Competition Council regarding the economic concentration project involving the exclusive takeover by the company “RG Safety SAS” of the companies “Novindus Maroc SARL” and “Restel SARL” and “Helios Dexis SARL”, through the acquisition of 60% of the share capital and associated voting rights.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the acquisition by “RG SAFETY SAS” of 60% of the share capital and associated voting rights of each of the following companies: “Novindus Maroc SARL”, “Restel SARL” and “Helios Dexis SARL”.

“RG SAFETY SAS” is a French simplified joint-stock company, registered with the Lyon Commercial Court Registry under number 420 625 394 and headquartered at 817, rue Nicephore Niepce – ZAC de la Fouillouse, 69800, St-Priest (France). It is the parent company of the “RG Group” specialized in the distribution of personal protective equipment for professionals, under manufacturers’ brands and its own brand, as well as in related services associated with these products. “RG Group” operates in France, Italy, Spain, Belgium, Slovakia, Germany, Tunisia, Switzerland, and Ireland.

“Novindus Maroc SARL” is a limited liability company under Moroccan law, registered with the Tanger Commercial Registry under number 48031 and headquartered at TFZ Lot 6, îlot 13, Tanger (Morocco). It specializes in the distribution of personal protective equipment to industrial customers.

“Restel SARL” is a limited liability company under Moroccan law, registered with the Casablanca Commercial Registry under number 159153 and headquartered at 208 Lotissement Habiba Haj Fateh Lissasfa, Casablanca (Morocco). It operates solely in Morocco in the distribution sector to industrial customers of personal protective equipment.

“Helios Dexis SARL” is a limited liability company under Moroccan law, registered with the Tanger Commercial Registry under number 82533 and headquartered at Zone Industrielle Gzennaya, Lotissement n°575, Tanger-Médina (Morocco). It operates solely in Morocco, also in the sector of importing and distributing personal protective equipment.
