NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the joint takeover of the company ‘Rochaktalim SA’ by the company ‘Mc Iv Diagnostics SA’ and the funds ‘Mediterrania Capital IV Morocco FPCC-RFA, Compartment 1’ and ‘Mediterrania Capital IV Morocco FPCC-RFA, Compartment 2’ alongside the company ‘Akdital SA’.
‘Akdital SA’ is a Moroccan joint stock company with a capital of 141,592,070 dirhams, headquartered at 246 route de l’Oasis – Casablanca, registered with the Casablanca Trade Register under number 357999. It owns private health facilities in Morocco, currently comprising 39 multidisciplinary private clinics and oncology centers.
‘MC IV Diagnostics SA’ is a Luxembourg joint stock company with a capital of 30,000 euros, headquartered at 12C, rue Guillaume J. Kroll, 1882 Luxembourg, registered with the Luxembourg Trade and Companies Register under number B299450. It is controlled by the investment fund ‘Mediterrania Capital IV Mid-Cap, L.P’ based in Mauritius and managed by the management company ‘Mediterrania Capital Partners (Mauritius) IM LTD’.
‘Mediterrania Capital IV Morocco FPCC-RFA Compartment 1’ and ‘Mediterrania Capital IV Morocco FPCC-RFA Compartment 2’ are funds without legal personality. They are represented by ‘Mediterrania Capital Partners Gestion SA’.
‘Mediterrania Capital Partners Gestion SA’ is a joint stock company with a capital of 1,150,000 Dirhams, headquartered at lot 58, Tour CFC, 6th floor, Core 1, Quartier Casa, Casablanca, registered with the Casablanca Trade Register under number 449053, and duly authorized as a collective investment management company by order of the Minister of Economy, Finance and Administrative Reform No. 2899-20 of 3 Rabii II 1442 (November 19, 2020).
‘Rochaktalim SA’ is a Moroccan joint stock company with a capital of 300.000 dirhams, headquartered at 14 rue du Lucerne Résidence Latifa, 1st Floor, Office N3, Hôpitaux district, Casablanca, registered with the Casablanca Trade Register under number 420801. It is currently 100% owned by the company ‘Akdital SA’ and is intended to develop and operate a network of local clinics and similar establishments engaging in radiology, biology, and medical diagnostics activities throughout the Kingdom of Morocco and abroad, particularly in Europe and the Gulf countries.
