NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the establishment of the joint venture ‘Mafaco Tesca Textile SA’ by the company ‘Marocaine de Fabrications Cotonnières SA’ and the company ‘Tesca Covering Materials Group SAS’.

‘Marocaine de Fabrications Cotonnières SA’ is a Moroccan public limited company, whose corporate purpose is to carry out all operations related to the trade and industry of textiles, particularly through its activity of weaving and finishing for the automotive sector.

‘Tesca Covering Materials Group SAS’ is a French simplified joint-stock company acting as an intermediate holding company of the Tesca group specialized in the automotive textile sector.

‘Mafaco Tesca Textile SA’ will be established as a Moroccan public limited company whose corporate purpose, in Morocco and abroad, either on its own behalf or on behalf of others, is to carry out all industrial and commercial operations related to weaving textiles for the automotive industry and weaving technical textiles in various weaves and materials (polyester, polyamide, etc.) used in vehicle seats.
