NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration transaction concerning the acquisition of exclusive control by the company « Société Thérapeutique Marocaine SOTHEMA SA » of the company « Ramo Pharm Sarl », through the acquisition of all of its share capital and the associated voting rights.

Société Thérapeutique Marocaine SOTHEMA SA is a public limited company incorporated under Moroccan law, whose registered office is located at Quartier industriel Bouskoura, Bouskoura 27182, Casablanca, registered in the Casablanca Trade Register under number 35631. Listed on the Casablanca Stock Exchange, its activities are structured around three main lines of business:

• The development, manufacture and marketing of generic and biosimilar medicines;
• The manufacture or import of licensed products, under partnerships concluded with international laboratories;
• Industrial subcontracting on behalf of Moroccan and international pharmaceutical laboratories.

Ramo Pharm Sarl is a limited liability company incorporated under Moroccan law, whose registered office is located at 21, rue Al Oukhouane, Beauséjour, Casablanca, registered in the Casablanca Trade Register under number 97517. It is active in the design and marketing of food supplements in Morocco.
