NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project concerning the joint control acquisition of the company “Elec Trimaroc SA” by the fund “Capital Croissance SA” managed by the company “BMCE Capital Investments SA”, alongside its historical shareholder, the company “STE TANMIA HOLDING SARL” through the acquisition of part of its shares as well as a reserved capital increase.
The fund “Capital Croissance SA” is a Collective Investment Scheme in Capital under Moroccan law, registered with the Casablanca Trade Register under number 596063, with a share capital of 501,000,000 dirhams, and its registered office is located at No. 63, Boulevard Moulay Youssef, Casablanca. This fund is managed by the company “BMCE Capital Investments SA”.
“BMCE Capital Investments SA” is a Moroccan joint stock company, registered with the Casablanca Trade Register under number 492337, with a share capital of 7,500,000 dirhams, and its registered office is located at No. 63, Boulevard Moulay Youssef, Casablanca. “BMCE Capital Investments SA” is a manager of Collective Investment Schemes in Capital and is a subsidiary of “BMCE Capital SA”, a financial institution specialized in investment banking and capital markets activities.
The company “Elec Trimaroc SA” is a Moroccan joint stock company, registered with the Casablanca Trade Register under number 58627, with a share capital of 40,200,000 dirhams, and its registered office is located at Lot 23, Zone Industrielle Commune Ouled Saleh, 27182 Bouskoura. “Elec Trimaroc SA” operates in the field of electrical installations, particularly public lighting and sports infrastructure, industrial electrical installations as well as electrical installations specific to buildings and services. The company “Elec Trimaroc SA” is an exclusive subsidiary of the company “STE TANMIA HOLDING SARL”.
The company “STE TANMIA HOLDING SARL” is a Moroccan limited liability company, registered with the Casablanca Trade Register under number 230575, with a share capital of 1,000,000 dirhams, and its registered office is located at No. 12, Rue La Fontaine Racine, Apartment No. 5, Casablanca.
