NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration transaction. concerning the acquisition of exclusive control of the company « Euro Maroc Phosphore SA » (« EMAPHOS ») by the company « OCP SPS SA », belonging to the OCP group, through the acquisition of two thirds of its share capital and the associated voting rights.
To date, EMAPHOS is jointly controlled by the company « OCP SA »,« Chemische Fabrik Budenheim KG » (« Budenheim »), a company governed by German law, and « Prayon SA » (« Prayon »), a company governed by Belgian law, each holding 1/3 of its share capital and the associated voting rights.
The notified transaction (the « Transaction ») consists of the acquisition by the company « OCP SPS SA » of:
- all the shares held by the company « Budenheim », representing 1/3 of the share capital of the company « EMAPHOS » and the associated voting rights; and
- all the shares held by the company « Prayon », also representing 1/3 of the share capital of the company « EMAPHOS » and the associated voting rights.
These two acquisitions are subject to separate conditions precedent and their own completion schedules, such that they will not be completed simultaneously. Upon completion of the first of these acquisitions, regardless of their order, the company « OCP SA » will hold, directly and indirectly through the company « OCP SPS SA », two thirds of the share capital of the company « EMAPHOS » and the associated voting rights, and will thus acquire exclusive control of it. Upon completion of the second acquisition, the company « OCP SA » will hold, directly and indirectly through the company « OCP SPS SA », all of the share capital of the company « EMAPHOS » and the associated voting rights.
« OCP SA » is a public limited company governed by Moroccan law, registered in the Casablanca Trade Register under number 40327, whose registered office is located at 2-4, rue Al Abtal, Hay Erraha, Casablanca. It is the parent company of the OCP Group, a global player in the production, supply and distribution of phosphate-based fertilizers. The OCP Group is also active in the extraction of phosphate rock and its processing into phosphoric acid, which is supplied to third parties or used to produce phosphate fertilizers and other products.
« OCP SPS SA » is a public limited company governed by Moroccan law, registered in the El Jadida Trade Register under number 2467 , whose registered office is located at Complexe Jorf Lasfar, BP 118, province of El Jadida, a 100 % subsidiary of the company « OCP SA ». It brings together and develops the OCP Group’s activities in the field of specialty phosphates and their derivatives. Its portfolio includes industrial salts derived from purified phosphoric acid, precision animal and plant nutrition solutions, as well as solutions for adding value to co-products from the phosphate value chain. These products and solutions have applications in various sectors, including precision agriculture, animal nutrition, the agri-food and pharmaceutical industries, electronics and applications related to the energy transition.
« EMAPHOS SA » is a public limited company governed by Moroccan law, registered in the Casablanca Trade Register under number 82423, whose registered office is located at 2-4, rue Al Abtal, Hay Erraha, Casablanca. Established in 1996, it operates an industrial facility in Jorf Lasfar specializing in the production of purified phosphoric acid, intended for high-value-added applications requiring high levels of purity. It serves the specialty fertilizer markets, the agri-food and pharmaceutical industries, as well as applications related to the energy transition.
