NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of a project of economic concentration concerning the exclusive control acquisition by the company “Netis Holding Ltd” of the company “Adiwatt Afrique SARL” and its subsidiary “Spadi 1 SARL AU”, through the acquisition of 70% of its share capital and related voting rights.
“Netis Holding Ltd” is a private company limited by shares under Mauritian law, registered with the Corporate and Business Registration Department under number C154929 and with its registered office located at Ocarian, Corporate Services Limited, 6th floor, Tower A, 1 Exchange Square, Wall Street, Ebene, 72209, Mauritius.Its main activity is to take stakes in other companies to ensure their management or control.
“Adiwatt Afrique SARL” is a limited liability company under Moroccan law, registered with the Casablanca Trade Register under number 248527 and with its registered office located at 1, Street Jbel Bani, Hay Essalam, CIL, Casablanca, Morocco. Its main activity is the supply, installation, and maintenance of solar panels.
“Spadi 1 SARL AU“ is a single-member limited liability company under Moroccan law, registered with the Tanger Trade Register under number 138429 and with its registered office located at office B-106, 1st floor, Centre d’affaires Nordami, lot 43 A, Zone Franche d’Exportation de Tanger, 90090, Tanger, Morocco. Its main activity is the production of solar energy.
