Press release regarding the meeting of the Competition Council Section

In accordance with the provisions of Article 38 of the internal regulations of the Competition Council, the Council section held a meeting on Tuesday, April 11, 2023 at 1:00 p.m., under the chairmanship of Mr. Abdellatif El MKADDEM, Vice-President of the Competition Council, to examine the files submitted to it by the Council’s investigation services.

The section made decisions to authorize the following four economic concentration operations:

• • The acquisition of exclusive control of the company « EXPAL Systems SA » by the company « Rheinmetall AG » through the acquisition of the entire share capital and voting rights associated therewith;
  • The acquisition of exclusive control of the company « GCL Group Africa SARL » by the company « Talan Holding SAS », through the acquisition of 100% of its share capital and associated voting rights;
  • The acquisition of the remaining 5.34% of shares and the transition from joint control to indirect exclusive control of the company « NIRA DYNAMICS AB » by the company « VOLKSWAGEN AKTIENGESELLSCHAFT » through its wholly-owned subsidiary « CARIAD SE »;
  • The acquisition of exclusive control by « Dulux GROUP LTD » of the company « N.P.T S.R.L. » through the acquisition of 51% of its share capital and associated voting rights.
