Press release from the Competition Council regarding the economic concentration project related to the merger between the company “Akzo Nobel N.V.” and the company “Axalta Coating Systems Ltd.”

In accordance with the provisions of Article 14 of Law 20-13 on the Competition Council, the Council’s Permanent Commission held a meeting on Thursday, December 30, 2021 at 09:30, under the chairmanship of Mr. Ahmed Rahhou, President of the Competition Council, to examine the files submitted to it by the Council’s investigating services.

At the beginning of its work, the Permanent Commission approved the minutes of its meeting held on December 17, 2021.

The Permanent Commission then decided to authorize the following economic concentration operations:

    • Acquisition by the company “Adient plc” of the exclusive control of the company “Chongqing Adient Automotive Components Co., Ltd.” by acquiring the remaining 25% of the capital and voting rights.
    • Joint control acquisition through the acquisition by Galus Bidco Limited of 70% of the share capital and voting rights of Biosynth Beteilingungs AG and by Dr. Urs Spitz of 30% of the share capital and voting rights of the latter.
