NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition of exclusive control of the companies “Vitronic Dr.-Ing. Stein Bildverarbeitungssysteme GmbH” and its subsidiaries, and the companies “Vitronic Management, Inc.” and “Vitronic Machine Vision Ltd.” by the company “ITIS Germany GmbH” through the acquisition of 100% of the share capital and related voting rights.
“ITIS Germany GmbH” (formerly Skoda Transportation GmbH) is a holding company with no established activity in accordance with German law, headquartered at Geschäftsanschrift, in Germany. The company is a 100% subsidiary of the company “ITIS Holding a.s.” established in accordance with Czech law, headquartered in Holešovice, Czech Republic, and operates in the field of toll collection, focusing on innovation and advanced services related to traffic management and regulation outside urban areas. The acquiring group is not present or active in Morocco.
“Vitronic Dr.-Ing. Stein Bildverarbeitungssysteme GmbH” is a company established in accordance with German law, headquartered at Hasengartenstraße, in Germany, present and active in Morocco in the field of intelligent traffic technology and automation solutions through its branch located in Casablanca, Vitronic Maroc, and one of its subsidiaries located in Dubai, Vitronic Machine Vision Middle East LLC. These entities provide automated control and detection equipment for road violations, operation software for this equipment, and maintenance services.
“Vitronic Management, Inc.” is a company established in accordance with the laws of the State of Georgia, headquartered in Kentucky, United States.
“Vitronic Machine Vision Ltd.” is a limited partnership under the laws of the State of Georgia, headquartered in Kentucky, United States. The Vitronic Holding group specializes in intelligent traffic technology, logistics, and industrial vision solutions.
