Statement from the Competition Council regarding the project of
concentration concerning the exclusive takeover by the company “Butec
Group Holding Limited” of the company “Eaux de Marseille – Morocco” through
the acquisition of 100% of the capital and associated voting rights
In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.
This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.
The publication of this statement does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition, as amended and supplemented.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE
PARTIES
The Competition Council has received a notification of a concentration operation under which BUTEC Group Holding Limited intends to acquire all the shares held in the share capital of Eaux de Marseille – Morocco, a Moroccan public limited company with its registered office at Villa Selma, Rue Ibn Mathar, Avenue Mohamed VI, Km 4.7, Rabat (Morocco), by Société des Eaux de Marseille, a French public limited company with its registered office at 78, Boulevard Lazer, 13010, Marseille (France).
The acquirer, BUTEC Group Holding Limited, is registered with the Dubai International Financial Center and is a subsidiary of the Lebanese group BUTEC founded in 1964, which is involved in turnkey construction projects (EPC) in various industrial sectors including energy and environment, mainly in the Middle East and North Africa (MENA) regions and in some Gulf countries.
The seller, Société des Eaux de Marseille, and the target company, Eaux de Marseille – Morocco, are companies specialized in the water and sanitation sectors.
The proposed operation will allow the BUTEC group to develop its environmental services business segment in its area of presence (Middle East and Africa).
