Statement from the Competition Council regarding the economic concentration project concerning the acquisition by DFDS A/S of the exclusive control of « FÖRDE REEDEREI SEETOURISTIK IBERIA S.L.U. » and its subsidiaries, « PASCHAMO SHIPPING COMPANY, LTD », « NIFESOS SHIPPING COMPANY, LTD » through the acquisition of 100% of their share capital and associated voting rights and that of « RED FISH SPEEDLINES SARL » through the acquisition of 50% of its share capital and associated voting rights.

In accordance with Article 13 of Law 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation as amended and supplemented, the Competition Council makes available to the public the below « operation summary » containing information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
A notification was submitted to the Competition Council regarding a concentration project involving the acquisition by DFDS A/S, from FRS Europe Holding GmbH, of the exclusive control of:
(i) Förde Reederei Seetouristik Iberia S.L.U (« FRS Iberia »), including Ferrys Rápidos Del Sur, S.L.U. and FRS Maroc S.A.R.L.
(ii) Paschamo Shipping Company, Ltd,
(iii) Nifesos Shipping Company, Ltd
(iv) Red Fish Speedlines SARL.
DFDS is a Danish limited liability company listed on Nasdaq Copenhagen A/S. It operates a maritime transport network in Europe and provides ferry maritime transport services as well as transport and logistics solutions.
The Targets are active in providing regular passenger and freight maritime transport services in the South areas of mainland Spain – Morocco. The fleet of ships consists of high-speed ferries, RO-RO, and RO-PAX.
