Statement from the Competition Council regarding the economic concentration project concerning the acquisition by Mr. Bani Haddad and Mr. Neil Konthiamadom George of joint control of the hotel management activity owned by the company ‘African Hotel Development Luxembourg SAS’

In accordance with Article 13 of Law 104-12 on freedom of prices and competition as amended and supplemented, and Article 10 of Decree No. 2-14-652 for its implementation, the Competition Council makes available to the public the ‘summary of the transaction’ below, containing information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible for it. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed transaction.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of a project of economic concentration concerning the acquisition by Mr. Bani Haddad and Mr. Neil Konthiamadom George of joint control of the hotel management activity owned by the company “African Hotel Development Luxembourg SAS”. “African Hotel Development Luxembourg SAS” is a simplified joint-stock company, under Luxembourg law, registered with the Trade and Companies Register (RCS) of Luxembourg under number B190309, and with its registered office at 4–6, rue du Fort Rheinsheim, L-2419, Luxembourg, Grand Duchy of Luxembourg. It acts as an investment and hotel management platform that operates its hotels under the ONOMO brand internationally, particularly in Africa.

1. Bani Haddad and M.Neil Konthiamadom George jointly control the company ‘ALEPH Hospitality Holdings Limited’ alongside the company ‘African Hotel Development Luxembourg SAS‘. ‘ALEPH Hospitality Holdings Limited’ is a limited liability company, under Emirati law, registered under number 000006307 and established in accordance with the laws and regulations of the Abu Dhabi Global Market (ADGM) free zone in Abu Dhabi. It is active in hotel management in the Middle East and Africa and offers management solutions to hotel owners.
