Statement from the Competition Council regarding the economic concentration project concerning the acquisition by the company “Orange SA”, through its subsidiary “Orange Polska SA” and by the company “APG Asset Management NV” acting on behalf of the foundation “Stichting Pensioenfonds ABP” of joint control of the company “Nexera Holdings sp. z o.o.”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The Competition Council received notification of an economic concentration project concerning the acquisition of joint control by the company “Orange SA”, through its subsidiary “Orange Polska SA”, and the company “APG Asset Management NV” acting on behalf of the foundation “Stichting Pensioenfonds ABP” of the company “Nexera Holdings sp. z o.o.”.

“Orange SA” is a French joint-stock company, registered with the Trade and Companies Register in Nanterre (France) under number 380 129 866 and headquartered at 111, quai du Président Roosevelt, CS 70222, 92449 ISSY-LES-MOULINEAUX. “Orange SA” operates as a French telecommunications operator providing a wide range of electronic communication services to individuals, businesses, and wholesalers, mainly in the areas of fixed-line telephony, internet, and mobile telephony, in 26 countries worldwide.

“Orange Polska SA”, a subsidiary of the company “Orange SA”, is a telecommunications operator active in Poland, registered under NIP number 526 02 50 995 and headquartered at Al. Jerozolimskie 160, 02 326 Warsaw.

“Stichting Pensioenfonds ABP” is a Dutch foundation (stichting) registered with the Chamber of Commerce of the Netherlands under number 41074000, with its registered office at Coriovallumstraat 46, 6411 CD Heerlen, Netherlands. The foundation ultimately and exclusively controls the company “APG Asset Management NV”.

“APG Asset Management NV” is a Dutch retirement investment management company, established in the Netherlands. “APG Asset Management NV” is a naamloze vennootschap (Dutch public limited company) registered with the Chamber of Commerce of the Netherlands under number 58476369, with its registered office at Basisweg 10A, 1043 AP Amsterdam, Netherlands.

“Nexera Holdings sp. z o.o.” is a Polish limited liability company, operating as a Polish fiber network operator offering wholesale high-speed broadband services. Its network covers rural and suburban areas in central and northern Poland.
