Statement from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company ‘Dislog Group SA’ of the company ‘Eramedic SA’, through its subsidiary ‘Dislog Medical Devices SA’.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘operation summary’ below, containing the information provided by the parties.

This information was prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this statement does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition, as amended and supplemented.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the exclusive takeover by the company ‘Dislog Medical Devices SA’, a wholly-owned subsidiary of ‘Dislog Group SA’, of ‘Eramedic SA’ through the acquisition of all its share capital and voting rights.

‘Dislog Medical Devices SA’ is a Moroccan joint stock company, registered with the Casablanca Trade Register under number 670155, 100% owned by ‘Dislog Group SA’. Its head office is located in the Ouled Saleh industrial zone, Bouskoura-Casablanca. The company brings together all Dislog group subsidiaries active in the medical devices sector.

‘Dislog Group SA’ is a Moroccan joint stock company, headquartered in the Ouled Saleh industrial zone, Bouskoura, Casablanca, registered with the Casablanca Trade Register under number 403199, active in the distribution, industrial, pharmaceutical, and parapharmaceutical sectors.

‘Eramedic SA’ is a Moroccan joint stock company, with its head office at 246 Bd Mohamed V – Casablanca, registered with the Casablanca Trade Register under number 34129, specializing in the supply of medical devices.
