NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration project concerning the acquisition of the indirect exclusive control of the company “Smiths Detection Group Limited” by the company “CVC Capital Partners plc” through the companies “Skyshield US Bidco Limited” and “Skyshield UK Bidco Limited”, which are indirectly controlled by funds or vehicles managed and/or advised by subsidiaries of CVC Capital Partners plc through the acquisition of all its share capital and associated voting rights.
“Skyshield US Bidco Limited” is established under the laws of Delaware, with its registered office at c/o Maples Fiduciary Services (Delaware) Inc. Suite 302 4001 Kennett Pike, New Castle County, Wilmington, DE 190807, United States, under registration number 10413417.
“Skyshield UK Bidco Limited” is established under the laws of England and Wales, with its registered office at 10th Floor 110 Cannon Street, London EC4N 6EU, United Kingdom, under registration number 16877022.
“Skyshield US Bidco Limited” and “Skyshield UK Bidco Limited” are investment vehicles indirectly controlled by funds or vehicles managed and/or advised by subsidiaries of CVC plc.
