NON-CONFIDENTIAL SUMMARY PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the joint takeover by the company “La Nouvelle Société Avant-Scène SA” of the company “Seven PM SARLAU”, alongside its historic partner Mr. “Moulay Ahmed Alami”, through the acquisition of 45% of its share capital and associated voting rights.

“La Nouvelle Société Avant-Scène SA” is a joint-stock company with a share capital of 10,000,000 dirhams, headquartered at Lot Vita No. 28, Avenue Hassan II, Rabat, registered with the Rabat Trade Register under number 11837. “La Nouvelle Société Avant-Scène” is a communication agency active in event communication, non-musical event production, digital, media relations, cultural and event site operation, as well as communication media production.

Mr. Moulay Ahmed Alami is a Moroccan national. He is the founder and sole partner of the company “Seven PM SARLAU”, of which he holds 100% of the share capital and associated voting rights.

“Seven PM SARLAU” is a single-member limited liability company with a share capital of 100,000 dirhams, headquartered at No. 49 Rue Jean Jaurès, 6th floor, Apartment No. 12, Gauthier, Casablanca, registered with the Casablanca Trade Register under number 393485. It is exclusively owned by Mr. Moulay Ahmed Alami as the sole partner. “Seven PM SARLAU” is active in the creation, production, and operation of cultural and music festivals, including Jazzablanca (Casablanca), Tanjazz (Tangier), and Amazingh / Taghazout Bay Festival (Agadir).
