NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation concerning the joint takeover by ‘Tettucio Pharma Holdings SAS’ and ‘Compagnie Financière Holding Atlas SA’ of the company ‘Corporate Investment Holding SA’.

‘Tettucio Pharma Holdings SAS’ is a Moroccan simplified joint-stock company with its registered office at 46, Boulevard Zerktouni, 3rd floor, Apt No.6, Casablanca, registered with the Casablanca Trade Register under number 652203. ‘Tettucio Pharma Holdings SAS’ is an investment company whose purpose is to acquire stakes in companies.

‘Compagnie Financière Holding Atlas SA’ is a Moroccan public limited company with a board of directors, with its registered office at 88, Rue El Marrakchi, Hippodrome District, Casablanca, registered with the Casablanca Trade Register under number 181559. It operates in the fields of investment banking, stockbroking, asset management, and real estate.

‘Corporate Investment Holding SA’ is a Moroccan public limited company with a board of directors, with its registered office at Rue d’Amyot d’Inville, Arsalane Ain Borja District, Casablanca, registered with the Casablanca Trade Register under number 189919. ‘Corporate Investment Holding SA’ owns the following companies: ‘Polymédic’ engaged in the production and distribution of drugs, ‘Pharmena’ engaged in the distribution of dietary supplements, ‘Foncière Amyot’, which holds real estate assets of the ‘CIH’ group, and ‘Promaceutique’ engaged in consulting and information services and promotion of health or cosmetic products for the ‘Corporate Investment Holding SA’ group.
