NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration operation consisting of the exclusive takeover by the company ‘Watec SA’ of the company ‘Watec Distribution SA’, through the acquisition of an additional 46.6% of the share capital and related voting rights.

‘Watec SA’ is a Moroccan joint stock company established in 1987, with its registered office at No. 136 Blvd Ibn Tachefine, Casablanca, and registered with the Casablanca Trade Register under number 51549. It operates in the water technologies sector, offering a complete range of services to meet water treatment and management needs.

‘Watec Distribution SA’ is a Moroccan joint stock company, established in 2018 at the initiative of ‘Watec SA’ in partnership with the investment fund ‘3P Fund’, with its registered office at Mohammedia lot No. 282, 3^rd floor, Southwest Industrial Zone, and registered with the Casablanca Trade Register under number 20829. Its objective is to develop the distribution and maintenance of equipment and products for water treatment, pumping, hydraulic engineering, as well as in the areas of pools and well-being.
