The Competition Council has received notification of an economic concentration concerning the exclusive takeover by the company ‘Alfa Laval’ of the companies ‘Fives Cryo SAS’, ‘Fives Cryo (Suzhou) Co.’, ‘Fives Cryo Inc.’, ‘Fives Cryomec AG’, and ‘Fives RE Golbey’ through the acquisition of 100% of their share capital and related voting rights.

‘Alfa Laval Holding AB’, a Swedish public limited company (aktiebolag), with its registered office at PO Box 73, SE-221 00 Lund (Sweden) and identification number 556587-8062. It is a global supplier of products and solutions involving heat transfer, separation, and fluid transfer technologies.

‘Fives Cryo SAS’ is a French simplified joint-stock company with its registered office at 25 bis, rue du Fort, 88190 Globey (France), registered with the Trade and Companies Register of Epinal under number 334 961 943 RCS.

‘Fives Cryo’ (Suzhou) is a Chinese limited liability company with its registered office at No. 16 Da Gang Road, Taicang Port Development Zone, Jiangsu Province, Suzhou, 215434 (China), with identification number 91320585667622596F.

‘Fives Cryo Inc.’ (Houston, USA) is an American company incorporated under the laws of Delaware (USA), with its registered office at 348 Garden Oaks Boulevard, Houston, TX 77018 (USA) and identification number DE 5692286.

‘Fives Cryomec AG’ is a Swiss public limited company (Aktiengesellschaft), with its registered office at Binningerstrasse 85b, 4123 Allschwil (Switzerland) and identification number CHE-107.880.461.

‘Fives RE Golbey’, a French real estate company, with its registered office at 3, rue Drouot, 75009 Paris (France) and identification number 887 709 012.

The target companies are active in the markets for the manufacturing and sale of heat exchangers and pumps.
