Press release from the Competition Council regarding the economic concentration project concerning the joint takeover by the company ‘Bitumed SA’ of the company ‘Danosa Maroc SA’, through the acquisition of 30% of the share capital and related voting rights, from and alongside its historical shareholder

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the ‘summary of the operation’ below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The Competition Council received notification of an economic concentration operation consisting of the joint takeover by the company ‘Bitumed SA’ of the company ‘Danosa Maroc SA’, through the acquisition of 30% of the share capital and related voting rights from and alongside the company ‘Derivados Asfalticos Normalizados SA’.

‘Bitumed SA’ is a Moroccan joint stock company, headquartered at Lotissement La Colline, Lot 11, 1^st floor, Sidi Maarouf, Casablanca, Morocco, and registered with the Casablanca Trade Register under number 405961. It specializes in the manufacture, storage, and distribution of pure bitumen and bitumen emulsions.

‘Danosa Maroc SA’ is a Moroccan joint stock company with its headquarters at 14 Boulevard de Paris, 5^th floor, Office No. 48, Casablanca, Morocco, registered with the Casablanca Trade Register under number 196703 and 100% owned by ‘Derivados Asfalticos Normalizados SA’. Established in Morocco since 2009, it is active in the import and marketing of waterproofing and thermal insulation products.
