Rectification statement from the Competition Council regarding the economic concentration project concerning the acquisition by the companies “Transwin SARL” and “Cap Holding SA” of joint control of the company “Finalog SA”.

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “summary of the operation” below, containing the information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received a request for rectification of the notification statement of an economic concentration operation concerning the joint control acquisition by the companies “Transwin SARL” and “Cap Holding SA” of the company “Finalog SA” through the respective acquisition of 50% each of the shares and voting rights related thereto.

“Transwin SARL” is a Moroccan limited liability company with a capital of 6,740,000 dirhams, headquartered in El Jadida-, 27, avenue Ennakhil, basement, registered with the El Jadida Trade Register under number 11,357. It specializes in transport for others, all logistics services, chartering of ships as well as purchase, sale, and general trading of all goods; and

“Cap Holding SA” is a Moroccan joint-stock company with a capital of 3,320,000 dirhams, headquartered in Casablanca – 8, rue Ali Abderrazak, Res Plein Ciel, 2^nd floor, registered with the Casablanca Trade Register under number 96,807. Its purpose is the placement and management of securities.

Finalog SA is a joint-stock company with a capital of 20,690,000 dirhams, headquartered in Casablanca (Roches Noires) – Site Mita, registered with the Casablanca Trade Register under number 240,227, specializing in cereals logistics, operating across the value chain, including transport, handling, and particularly cereals storage.
