Press release from the Competition Council regarding the economic concentration project concerning the exclusive takeover by the company “Akdital SA” of the companies “Polyclinique Laayoune Sarlau”, “SihatInvest Sarlau”, and “Al Hikma Medical Sarl” through the acquisition of 100% of the share capital and associated voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this press release does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition as amended and supplemented.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation concerning the exclusive takeover by the company “Akdital SA” of the companies “Polyclinique Laayoune”, “SihatInvest”, and “Al Hikma” through the acquisition of 100% of the share capital and associated voting rights.

“Akdital SA” is a Moroccan joint stock company with a share capital of 126,666,700 dirhams, headquartered at 246 Route de l’Oasis – Casablanca, registered with the Casablanca Trade Register under number 357999. It owns private healthcare facilities in Morocco, currently comprising 33 private hospitals, multidisciplinary clinics, and oncology centers.

“Polyclinique Laayoune Sarlau” is a single-member limited liability company under Moroccan law with a share capital of 10,000,000 dirhams, headquartered at Avenue Mohamed VI – Laayoune. It is registered with the Laayoune Court of First Instance Commercial Register under number 18829. It is not yet operational and will eventually operate a multidisciplinary clinic in Laayoune offering a complete range of medical and surgical services.

“SihatInvest Sarlau” is a single-member limited liability company under Moroccan law with a share capital of 10,000,000 dirhams, headquartered at Lot El Wahda Block No. 266 – Laayoune. It is registered with the Laayoune Court of First Instance Commercial Register under number 36511. It is responsible for purchasing medical equipment solely on behalf of “Polyclinique de Laayoune”.

“Al Hikma Medical Sarl” is a limited liability company under Moroccan law with a share capital of 107,600,000 dirhams, headquartered at Avenue de la Mecque, Rue Ibn El Jani – Laayoune. It is registered with the Laayoune Court of First Instance Commercial Register under number 19469. It operates the multidisciplinary clinic “Al Hikma Medical Center” in Laayoune, offering medical consultations, analyses, radiological examinations, and surgical procedures.
