Press release from the Competition Council regarding the economic concentration project concerning the acquisition by “Nippon Paint Holdings Co. Ltd” of the exclusive control of the company “LSF11 A5 TopCo LLC” and its subsidiaries

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration operation consisting of the acquisition by “Nippon Paint Holdings Co. Ltd” (NPHD) of the exclusive control of the company “LSF11 A5 TopCo LLC” and its subsidiaries (AOC).

“NPHD” is a Japanese joint-stock company, headquartered in Tokyo, Japan, and is a manufacturer of paints and paint products operating in the architecture, industry, automotive, and marine sectors. NPHD’s products include automotive coatings, decorative paints, industrial coatings, fine chemicals, and other paints, as well as related activities.

“LSF11 A5 TopCo LLC” is a holding company headquartered in Collierville, Tennessee, United States of America, which holds shares of “AOC”.

“AOC” is a group of subsidiary companies of the company “LSF11 A5 TopCo LLC”, providing specialized formulations and solutions that enable its customers to create products and components for applications in: (i) coatings, adhesives, sealants, and elastomers (“CASE”) and colorants: protective coatings and barriers, colorants and visual effects, adhesives, and specialty products; and (ii) conventional composites. Composites made from AOC’s products are then used for a wide variety of applications. AOC’s products mainly include: vinyl ester resins, unsaturated polyester resins, gelcoats, pigment dispersions, intermediates for glass, additives for thermosetting molding compounds such as low-profile additives, maleic anhydride, and promotion and inhibition solutions.
