Press release from the Competition Council regarding the economic concentration project concerning the indirect exclusive takeover of the company “Global Feed SLU” by the company “OCP SA” through the acquisition of an additional 25% stake in the share capital and related voting rights

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing the information provided by the parties.

This information has been prepared by the notifying parties, who are solely responsible. Any inaccurate or distorted information contained therein does not in any way prejudge the Competition Council’s position on the proposed operation.

The publication of this press release does not attest to the completeness of the file provided for in Article 9 of Decree No. 2-14-652 issued for the implementation of Law No. 104-12 on freedom of prices and competition as amended and supplemented.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE

PARTIES

The Competition Council has received notification of an economic concentration operation concerning the company “OCP SA” which intends to acquire, through its subsidiary “OCP International Coôperatieve UA”, the indirect exclusive control of the company “Global Feed SLU”, by means of an additional acquisition of 25% of its share capital and related voting rights, thus bringing the total participation to 75%.

The activities of the Companies Concerned are as follows:

“OCP SA” is a Moroccan joint stock company, registered with the Casablanca Trade Register under number 40327 and headquartered at 2-4, Rue Al Abtal Hay Erraha, Casablanca, Morocco. OCP SA is a global company engaged in the extraction, processing, production, transformation, and marketing of natural phosphate, phosphoric acid, and phosphate fertilizers, and it is the parent company of the OCP Group;

“OCP International Coöperatieve UA” is a company duly established in accordance with the laws of the Netherlands, with its registered office at Jupiter Building, 2nd floor, Herikerbergweg 88 1101 CM Amsterdam, Netherlands, registered with the Chamber of Commerce of Amsterdam under number 52604241. The company’s activity consists of managing OCP SA’s financial interests internationally. It has no presence or activity in Morocco and is wholly owned by OCP SA;

“Global Feed SLU” is a Spanish limited liability company, located at avenue Francisco Montenegro s/n 5, Huelva, Spain, and registered with the Huelva Trade Register in volume 1,004 page 36. Global Feed’s activities are related to the manufacture, production, and sale of mineral nutrition for animal feed. The company does not carry out any activities in Moroccan territory.
