NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received notification of an economic concentration project concerning the exclusive control acquisition by the company “Deutsche Lufthansa Aktiengesellschaft” of the company “Italia Trasporto Aereo S.p.A.”, through the acquisition of 49% of its share capital and related voting rights.
“Deutsche Lufthansa Aktiengesellschaft” is a German company listed on the stock exchange, with its headquarters at Venloer Strasse 151-153, 50672 Cologne, Germany, registered in the commercial register of the Cologne District Court under number HRB 2168, with its business address at Deutsche Lufthansa AG, Corporate Legal Affairs, Airportring, Lufthansa Aviation Center, FRA CJ, C3.1000, D-60546, Frankfurt am Main, Germany. The company is both an airline (Lufthansa Passenger Airlines) and the parent company of the Lufthansa Group, providing passengers with air transport services, air freight transport, and related services. “Deutsche Lufthansa Aktiengesellschaft” already exercises joint control over “Italia Trasporto Aereo S.p.A.” following the acquisition of an initial 41% stake authorized by the Competition Council in 2024 (Decision No. 69/D/2024).
“Italia Trasporto Aereo S.p.A.” is an Italian joint-stock company, with its headquarters at Via XX Settembre, 97, Rome, Italy, 00187, registered with the Rome Chamber of Commerce under number RM-1622937, Italian tax number and registration number in the business register 15907661001, with its business address at Via Alberto Nassetti No. 2, 00054, Fiumicino. Operating under the trade name “ITA Airways,” the company is mainly engaged in providing passenger air transport services and operates regular and charter flights on domestic, European, and intercontinental routes.
