Press release from the Competition Council regarding the economic concentration project related to the merger between the company “Akzo Nobel N.V.” and the company “Axalta Coating Systems Ltd.”

The Permanent Commission held its meeting, via videoconference, on Friday, May 8, 2020 at 11am, under the chairmanship of Mr. Driss Guerraoui, President of the Council.

After a thorough examination of two items on the meeting agenda, the Permanent Commission made decisions to authorize two economic concentration operations concerning:

          • The acquisition by “Tesca Group SAS” of 100% of the capital and voting rights of the company “Faw Automotive Morocco SARL”;
          • The acquisition by “Blue Box Partner Iberia, SL” of sixty-six percent (66%) of the capital and voting rights of the companies “Société Nationale de Carton, SA” and “Société Maroco-Cubaine de Commerce et d’Industrie, SA”.

These two economic concentration operations were authorized following the presentation of the instruction report prepared for this purpose, and the ensuing debate, which led to the conclusion that these operations do not have any anti-competitive effects on the relevant markets.

Furthermore, the President informed the members of the Permanent Commission of the measures taken for the organization of the 6th extraordinary session of the plenary formation, scheduled for Thursday, May 14, 2020 via videoconference, and which will be dedicated to the presentation, discussion, and approval of the annual report for the year 2019 and the draft opinion on the state of competition in the online payment market by credit card.

Finally, it should be noted that the Permanent Commission had previously approved the minutes of its meeting held on Friday, April 24, 2020.
